Practice areas

  • Business Formation. I advise new businesses and entrepreneurs in choosing among the many available business structures, including sole proprietorships, general partnerships, limited partnerships, limited liability partnerships, limited liability companies, and corporations, including S-corporations and C-corporations.
  • Business Governance and Succession Planning. Business governance is the way in which a company is directed, administered or controlled, as well as the relationship between owners, managers and other key people. A business succession plan is a strategy to ensure that your business continues after the death or retirement of the company’s owners. Clear and comprehensive written agreements are vital to these areas. I counsel clients in governance and succession matters, including the review and preparation of shareholder agreements, operating agreements, and partnership agreements.
  • Dispositions and Reorganizations. I counsel and represent clients regarding business dispositions such as buying or selling a business, including asset sales/purchases and stock sales/purchases, mergers and acquisitions, joint ventures, and reorganizations. I also counsel and represent clients with respect to dissolving business structures and entities.
  • Transactions. I counsel and represent clients in major business transactions, including borrowing and lending arrangements, major customer and vendor contracts, and independent contractor agreements.
  • Business Disputes and Litigation. I counsel and represent clients in a wide range of business disputes and lawsuits, for example, breach of contract, shareholder/partner/member disputes, commercial collection matters, business fraud, trade name misappropriation, unfair competition, interference with relationships and contracts, and commercial collections and disputes.
  • Employment Relationships. I counsel and represent clients in a wide range of employment law matters. I review, evaluate, negotiate, and draft employment contracts, handbooks/ manuals/policies, restrictive covenants and agreements (including non-compete, non-solicitation, and non-disclosure agreements), and separation/severance agreements. all of which can help avoid costly litigation and limit liability.
  • Employment Litigation. I represent businesses and individuals in a wide variety of employment law disputes and litigation, including claims of discrimination, harassment, retaliation, wrongful termination, breach of restrictive covenants and employment agreements, defamation, and emotional distress.
  • Commercial Real Estate. I represent businesses and individuals buying or selling business, commercial, and industrial properties. I also review, evaluate, negotiate, and draft commercial leases, subleases, and licenses, and represent clients in commercial real estate litigation and disputes, including landlord-tenant issues.
